Effective Date: from 20 February 2026 onwards

These Terms & Conditions govern participation in the OpusFlow Referral Program (“Program”). By submitting a referral, you agree to these terms.

1. Program Overview

The OpusFlow Referral Program rewards individuals or businesses (“Referrers”) who introduce new eligible customers to OpusFlow B.V. (“OpusFlow”).

A referral is considered successful only when all qualification criteria outlined below are met.

2. Who Can Participate

• Anyone may refer a potential customer to OpusFlow.
• Referrers must be legally able to issue a valid invoice for referral services.
• Referrers may submit an unlimited number of referrals.
• Referrers may not refer:
  • Their own company;
  • Any company in which they have ownership or controlling interest;
  • Any affiliated entity under common control.

OpusFlow reserves the right to verify eligibility.

3. Eligible Referrals

To qualify:

The referred company must:

• Not already be present in OpusFlow’s CRM, database, or active sales process at the time of referral;
• Not be an existing OpusFlow client;
• Not be a former OpusFlow client.

OpusFlow’s internal records are decisive in determining eligibility.

4. Qualification Requirements

A referral qualifies for a reward only if the referred company:

• Signs a subscription agreement with OpusFlow;
• Purchases a minimum of three (3) licenses;
• Commits to annual billing (12-month minimum term);
• Pays the first annual invoice in full.

5. Referral Reward

5.1 Referrer Reward

• The referrer will receive €250 (excluding VAT, if applicable) per successful referral.
• Payment will be made by bank transfer.
• The referrer must submit a valid invoice in compliance with applicable tax and VAT regulations.
• Payment will be made three (3) months after OpusFlow has received the first annual subscription payment in full.
  
  

5.2 Referred Client Benefit

• The referred client will receive a €250 discount on their first invoice.
• The discount applies only if all qualification requirements are met.
• The discount is non-transferable and not redeemable for cash.

6. Referral Validity Period

• Once submitted and accepted, a referral remains valid for six (6) months.
• If the referred company does not sign a qualifying agreement within this period, the referral expires.
• After expiration, no reward will be payable.

7. Early Termination & Refunds

If the referred client:

• Terminates the subscription before completing the first annual term; or
• Receives a full or partial refund;

Then:

• The €250 referral reward will be deducted from any refund due to the referred client; and/or
• If already paid to the referrer, OpusFlow reserves the right to reclaim or offset the €250 against future payments.

Referral rewards are considered fully earned only after completion of the first 12-month subscription period without refund.

8. Tax & VAT

• Referral rewards are considered compensation for marketing/introduction services.
• Referrers are responsible for their own tax reporting and VAT compliance under applicable EU regulations.
• Where applicable, reverse-charge VAT must be clearly stated on the invoice.
• OpusFlow is not responsible for incorrect tax handling by the referrer.

9. Fraud & Abuse

Self-referrals, artificial arrangements, contract manipulation, or any abuse of the Program are strictly prohibited.

OpusFlow reserves the right to withhold or cancel rewards and disqualify participants in cases of suspected abuse.

10. Program Changes

OpusFlow reserves the right to modify, suspend, or terminate the Referral Program at any time.

Changes will not affect approved referrals still within their six-month validity period.

11. Governing Law

These Terms & Conditions are governed by the laws of the Netherlands.
Any disputes shall be subject to the jurisdiction of the competent Dutch courts.
